Terms of Service

Kordinate is a vertical SaaS platform designed for music managers and management companies. It provides tools for deal management (CRM), artist roster management, tour operations, task tracking, release and label workflows, and related functions.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use Kordinate. By creating an account, you represent that all information you provide is accurate and that you will keep it up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at team@kordinate.app if you suspect any unauthorised access.

Each organisation account may have multiple team members as permitted by your subscription plan. You are responsible for ensuring all users within your organisation comply with these Terms.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure
• Reverse engineer, decompile, or disassemble any component of the Service
• Resell, sublicense, or otherwise transfer access to the Service to any third party without our written consent
• Upload or transmit content that is defamatory, obscene, infringing, or otherwise unlawful
• Use automated tools (bots, scrapers, crawlers) to access the Service without our express written permission
• Interfere with or disrupt the integrity or performance of the Service or any connected systems

We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated this section.

You retain ownership of all content, data, and materials you upload to or create within Kordinate ("Your Content"). By using the Service, you grant Kordinate a limited, non-exclusive, royalty-free licence to host, store, display, and process Your Content solely to the extent necessary to provide the Service to you.

You represent and warrant that You have all rights necessary to grant this licence and that Your Content does not infringe any third-party intellectual property or other rights.

We do not claim ownership of Your Content and will not use it for any purpose beyond operating the Service.

Kordinate, including all software, design, text, graphics, interfaces, and code, is the proprietary property of Kordinate and is protected by intellectual property laws. These Terms do not grant you any ownership interest in the Service.

The Kordinate name, logo, and all related marks are trademarks of Kordinate. You may not use these marks without our prior written consent.

Kordinate integrates with or relies on third-party services including Supabase (database and authentication), Paddle (payment processing), Vercel (hosting), and others. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of any third-party service.

Both parties agree to keep confidential any non-public information shared in connection with the Service that is designated as confidential or that a reasonable person would understand to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KORDINATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) NZD $100.

You agree to indemnify, defend, and hold harmless Kordinate from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

Either party may terminate these Terms at any time. We may terminate or suspend your access immediately, without notice, if you breach these Terms or if required by law. Upon termination, your right to use the Service ceases immediately.

Following termination, we will retain Your Content for a reasonable period to allow you to export your data. After this period, we may delete Your Content from our systems. We are not liable for any loss resulting from deletion of Your Content after termination.

These Terms are governed by the laws of New Zealand, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand.

Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at team@kordinate.app. We will attempt to resolve the dispute within 30 days.

We may update these Terms from time to time. We will notify you of material changes by email or by a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
